General
Each MERRILL+ cardholder who purchases an Exclusive Resorts Club Membership will be entitled, based on their cardholder status, to a Welcome Package, Special Membership Pricing and/or Double Points for Annual Dues. Cardholders have the option of paying their Transfer Fee and Annual Dues by using their MERRILL+ card. All payments charged to a MERRILL+ card are subject to credit availability. For new Club Members, payment of the Transfer Fee (which represents 20% of the one-time Membership Fee) must be made on the MERRILL+ card in the cardholder’s name to receive the benefits. Cardholders with appropriate status that are already Club Members of Exclusive Resorts are entitled to receive the applicable benefits if they purchased an Elite or Full Membership equal to or more than $380,000, an Executive Membership for more than $283,000, or an Affiliate Membership for more than $187,500. To receive this offer, eligible Club Members need to contact their Regional Sales Director. Benefits cannot be combined with any other Exclusive Resorts offer or promotion that is not related to Merrill Lynch. All offers are final at the time of Club Membership purchase. Cardholders must contact Exclusive Resorts at (866) 702-5354 in order to request the applicable benefits. Benefits are contingent upon validation that cardholders have appropriate status. Complimentary pre-arrival shopping, private chef dinner, ground transfer, resort activity offer and special membership pricing are non-transferable and non-endorsable and have no cash value. a) Double Merrill Points for Annual Dues
Cardholder must be a new or existing Exclusive Resorts Club Member to be eligible to receive Double Merrill Points for Annual Dues payments. All Annual Dues transactions charged to the card will be entitled to receive Double Merrill Points.

b) Welcome Package
Welcome Package includes two complimentary ground transfers via executive sedan service to be used to transfer the Club Member and up to three guests to or from the airport and the Exclusive Resorts residence. These two transfers can be used for two trips (to and from the residence) or can be used to reserve two sedans for one trip when traveling with a group of up to seven guests. This offer is limited to $500.00 in value and any additional expenses will be posted to the cardholder’s house account. Exclusive Resorts will provide cardholders with appropriate status with one complimentary private chef dinner and one pre-arrival shopping service with complimentary groceries, cooking materials, and non-alcoholic beverages in the Exclusive Resorts residence of their choice. This offer is limited to $750.00 in value and any additional expenses will be posted to the cardholder’s house account. Exclusive Resorts will provide cardholders with appropriate status with complimentary resort activities. This offer is limited to $250.00 in value and any additional expenses will be posted to the cardholder’s house account. These benefits must be redeemed with two years of the cardholder’s Club Membership activation date.

c) Special Membership Pricing
All cardholders with appropriate status who join Exclusive Resorts are eligible to receive the following special Club Membership pricing: A $15,000 discount on the Membership Fee for the Elite Membership, a $12,000 discount on the Membership Fee for the Executive Membership, a $7,500 discount on the Membership Fee for the Affiliate Membership. Discounts cannot be combined with any additional offer. The Membership Fee for each membership offering is the then-current list price as posted on the Club’s public website at the time of purchase. The purchaser must be a current MERRILL+3 cardholder and the Club Member must be a MERRILL+ cardholder (non-transferable). Membership Plans, Membership Fees and Annual Dues are accurate as of December 1, 2005 and, prior to Club Membership purchase, are subject to change. Offer is valid for Exclusive Resorts Club Memberships purchased through December 31, 2006. “Purchased” means the Club Member pays the Transfer Fee and submits executed copies of all required Club Membership documents.
